These Terms of Use are the agreement between you and Precept for using our independent paid mentorship platform for healthcare professionals. If you do not agree, do not use Precept.
Precept is an online platform that connects healthcare professionals — nurses, students, residents, clinicians, educators, and subject-matter experts — for paid peer mentorship. Precept is operated as a sole proprietorship by Peter Obaldo, doing business as Precept, based in Virginia Beach, Virginia, USA ("Precept," "we," "us," "our"). Precept is an Independent Professional Network. It is not affiliated with, sponsored by, or endorsed by any hospital, health system, employer, school, or professional licensing body.
By creating an account or using Precept, you agree to these Terms and to our Privacy Policy, Refund Policy, and SMS Messaging Policy, each incorporated by reference. We may update these Terms; if a change is material we will notify you in the app or by email. Continued use after the change takes effect constitutes acceptance of the new version.
Paid Calls acceptance gate. This is version 2.0 of the Terms. If you signed up under an earlier version of the Terms, you may continue to browse and message on Precept under that prior version. You will be asked to accept version 2.0 before your first paid action — booking a paid Call, activating mentor payouts, or enabling paid availability. We record the version, timestamp, and limited session metadata of your acceptance for compliance and audit purposes (see the Privacy Policy).
You must be at least 18 years old and able to form a binding contract to use Precept. By creating an account, you represent that you meet these requirements and that the information you provide is accurate.
Precept matches healthcare professionals for paid mentorship and provides messaging, scheduling, and basic safety features. All mentorship on Precept is independent peer guidance: career-focused, educational, and conversational. Mentors are not acting as employees, preceptors, supervisors, or representatives of any hospital, employer, school, or licensing body when participating on Precept. No in-person clinical relationship is formed by use of the platform.

Calls do not constitute the practice of medicine, nursing, pharmacy, or any other licensed healthcare profession in any jurisdiction. Mentors are independent contractors offering peer perspective, not licensed clinical services to the user receiving the Call. Know your local boards, your own licensing body, and your site's policies before applying any guidance to clinical work.

We may, at our discretion, suspend or terminate accounts that violate these rules, and we may preserve and disclose related records as permitted by law to protect users, comply with legal process, or investigate misconduct.
A Precept Call is a 20-minute scheduled voice conversation between a user and a mentor. Camera is optional at no additional charge.
Mentors on Precept are independent contractors, not employees, agents, or representatives of Precept. Each mentor:
Nothing in these Terms creates an employment, partnership, joint-venture, or agency relationship between Precept and any mentor or user.
Payments are processed by Stripe, Inc. and Stripe Connect Express. Precept does not directly store full payment card data; Stripe handles cardholder data subject to PCI DSS standards. By using paid features, you agree to Stripe's terms and authorize the charges shown to you at checkout.
Chargebacks. If you believe a charge is incorrect or you want a refund, please contact us at hello@precepthealth.app before initiating a card chargeback. During the current validation phase, full refunds are granted on request — there is generally no need to involve your card issuer. If you initiate a chargeback, Precept reserves the right to (a) reverse the corresponding mentor payout through Stripe Connect, and (b) suspend the account pending review. Repeated chargebacks where a direct refund request would have resolved the dispute may result in termination.
Every conversation includes a Report option. If you encounter unsafe, abusive, or unethical behavior, report it through the app or by emailing hello@precepthealth.app. We review reports and may take action including suspension, content removal, payout reversal, or termination.
If a message you are about to send contains language that appears related to crisis, self-harm, or emergency, the app may show a brief safety notice before the message sends. The notice does not block your message — it surfaces the crisis resources and lets you continue if you choose. Precept is not crisis care; the notice is a courtesy reminder.
If you provide a mobile phone number, you may opt in to transactional SMS notifications from Precept. Full terms, including frequency, charges, opt-out, and supported carriers, are described in our SMS Messaging Policy.
You retain ownership of the content you post on Precept. You grant Precept a worldwide, non-exclusive, royalty-free license to host, store, display, and transmit your content solely to operate, secure, and improve the platform and to deliver it to your matched counterpart. We do not sell your content, use your private messages for advertising, or train AI models with your private messages.
Precept, the Precept name and logo, and the platform itself are protected by copyright, trademark, and other laws. You may not use our marks without permission. Nothing in these Terms transfers any ownership rights to you.
You may delete your account at any time from within the app — open your Profile and choose "Delete account" — or by emailing hello@precepthealth.app. Deleting your account deactivates it and removes it from active use. Some records are retained where needed for payments, refunds, tax, safety, fraud prevention, legal compliance, and dispute handling, as described in the Privacy Policy.
We may suspend or terminate your account, without prior notice, if you violate these Terms, the Privacy Policy, the Refund Policy, or the SMS Messaging Policy; if you engage in conduct that endangers another user; if your continued access poses a risk to others or to the platform; or if we discontinue the service. Sections that by their nature should survive termination — including disclaimers, liability limits, indemnification, governing law, and chargeback-reversal rights — will survive.
Precept is provided "as is" and "as available." To the fullest extent permitted by law, Precept disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or free from harmful components, or that any content shared by users is accurate, safe, or fit for any particular use. Mentor guidance is peer perspective, not professional or clinical advice.
To the fullest extent permitted by law, Precept and its operator will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or other intangibles, arising out of or relating to your use of Precept. Our total liability for any claim arising out of or relating to these Terms or the platform will not exceed the greater of (a) one hundred United States dollars ($100), or (b) the total amount you paid Precept for Calls in the twelve months preceding the claim.
You agree to indemnify and hold harmless Precept and its operator from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of your use of the platform, your content, your interactions with another user, or your violation of these Terms or applicable law.
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws principles. The exclusive venue for any dispute will be the state or federal courts located in the Commonwealth of Virginia, and you consent to personal jurisdiction in those courts.
Before filing any claim, you agree to first contact us at hello@precepthealth.app and attempt in good faith to resolve the dispute informally for at least thirty (30) days. If we cannot resolve the dispute, either party may pursue the matter in the courts identified in Section 20.
